Terms of Service

1. Summary (In Plain Language)

You own your data. We don't sell it, and we don't use it for advertising. Muzeek simply provides a secure platform to host, use, and share your content.

2. Agreement and Scope

These Terms apply to all users of the Service, including visitors, account holders, and organizations. Our Privacy Policy explains how we collect, use, and protect your personal information.

If you're using Muzeek on behalf of an organization, you're agreeing to these Terms for that organization and confirming that you have authority to bind the organization.

If you purchase a Pro, Premium, or Enterprise subscription, additional terms may apply through a separate Subscriber Agreement.

3. Your Content and Ownership

You retain full ownership of the content you create, upload, submit, or share through Muzeek ("Content").

By using the Service, you grant Muzeek a limited, worldwide, royalty-free license to host, process, display, reproduce, and distribute your Content for the following purposes:

• To operate and maintain the Service
• To provide technical support
• To improve product functionality and performance
• To enable AI-based features as described in Section 4 below

You are responsible for your Content and the consequences of sharing it.

We may remove Content that violates these Terms or applicable law.

4. Use of AI and Machine Learning Features

Muzeek may offer features powered by artificial intelligence ("AI Features") to help you generate, organize, analyze, or transform your Content.

How AI Features Work:

• AI Features may process your Content (e.g., tasks, messages, or project names) to generate responses, summaries, or suggestions.
• We may use third-party AI providers (such as OpenAI, Google, or others) to power certain features. Data shared with those providers is done under strict contractual agreements and only for the limited purpose of fulfilling the AI task.
• Unless you give us specific consent, your Content is not used to train third-party models.

Your Control:

You can enable or disable AI Features where applicable in your settings. By using AI Features, you consent to your Content being temporarily processed to complete the requested action.

If you do not wish to use these features, you may opt out at any time.

5. Your Responsibilities

By using the Service, you agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Notify us immediately if you suspect unauthorized access to your account
• Comply with our Privacy Policy and any posted Acceptable Use Guidelines

You may not:

• Access or use another user's account without permission
• Decompile, reverse engineer, or attempt to gain unauthorized access to any part of the Service
• Use the Service for any unlawful or prohibited purpose

You must be at least 13 years old (or the age required by applicable law) to use the Service.

6. Software License

If you download our client software ("Software"), we grant you a limited, non-exclusive, non-transferable license to use it solely in connection with the Service.

The Software may update automatically. You may not copy, distribute, or create derivative works from the Software except as permitted by law.

If you use our API, your use is subject to our separate API Terms (if applicable).

7. Subscriptions and Billing

Some features are offered on a subscription basis ("Subscription"). By subscribing, you agree to:

• Pay all fees when due based on your billing plan
• Provide valid and up-to-date billing information
• Authorize us to automatically charge your selected payment method

Your Subscription will automatically renew unless canceled before the end of your current billing cycle. You may cancel through your account or by contacting support.

No refunds will be provided for unused or partially used Subscription periods unless required by law.

8. Administrator Access

If you use an email address tied to an organization (e.g., yourname@company.com), that organization and its administrators may:

• Access and control any Content associated with that domain
• Add or remove users
• Integrate with third-party applications

By using an organization-provided email, you consent to this administrative control.

9. Third-Party Applications

If you connect your Muzeek account with third-party services, you allow your Content and data to be shared with those applications. We are not responsible for how third-party services use your data—please review their terms and privacy policies.

10. Security

We use industry-standard technical and organizational measures to protect your Content. While we take reasonable precautions, no system is completely secure, and you use the Service at your own risk.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you violate these Terms or if your use could cause legal or financial risk.

Upon termination, your right to access the Service ends immediately. We may delete your Content from our systems unless otherwise required by law.

12. Muzeek's Intellectual Property

All rights to the Service and Software (excluding your Content) are owned by Muzeek or its licensors. You may not use our branding, logos, or trademarks without our prior written permission.

You may submit feedback or suggestions, which we may use freely without obligation.

13. Copyright

14. Modifications to the Service

We may update, add, or remove features at any time. We aim to notify you of material changes, but are not required to do so. Your continued use of the Service after changes are posted means you accept the changes.

15. Indemnity

You agree to indemnify and hold harmless Muzeek, its affiliates, employees, contractors, and partners from any claims, damages, or liabilities arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms or applicable law

16. No Warranty

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee:

• That the Service will be uninterrupted or error-free
• That AI or third-party services will always function as expected
• That any Content loss will be recoverable

17. Limitation of Liability

To the maximum extent permitted by law, Muzeek is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill.

In any case, Muzeek's total liability for all claims in any 12-month period will not exceed the greater of:

• $100 USD, or
• The amount you paid to Muzeek during that period

18. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.

19. Data Transfers

By using the Service, you consent to your data being transferred to and processed in the United States or other countries where we or our service providers operate.

We use lawful mechanisms, such as Standard Contractual Clauses (SCCs), to protect your personal data during cross-border transfers when required.

20. Publicity

You grant us permission to include your company name and logo in our list of customers, marketing materials, or website unless you opt out in writing.

21. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Muzeek and supersede any prior terms. If a part of these Terms is found unenforceable, the rest will remain in effect.

22. Assignment

You may not assign your rights or obligations under these Terms without our consent. We may assign or transfer our rights freely.

23. Notices

We may send you important notices via email to the address associated with your account. You are responsible for keeping that address current. We may also send marketing or service updates, which you may opt out of.
